Attachment #1: Resolution

PURPOSE:
The purpose of this resolution is to authorize a new lease of all rentable space on the ninth floor of Skyline Center to Anza Services, LLC

BACKGROUND:
In January of this year Anza Services, LLC ("Anza"), a start-up financial technology company, signed a one-year lease for approximately 8,000 square feet in the Skyline Center.

Anza is seeking regulatory approval to become the ninth Fannie Mae approved private mortgage insurer in the country, and the third in North Carolina. Skyline Center has served as their location from the inception of their North Carolina presence. They presently have over 10 employees in Wilmington but have plans, as they continue to successfully raise capital, to hire an additional 20 employees in the months ahead, with more to follow thereafter.

To accommodate their growth, Anza now seeks to expand their leased premises to the entire rentable space on the ninth floor, which is comprised of approximately 30,085 square feet of space. Anza desires a five-year lease, with two options to renew their term for an additional two-and-one-half years each. Other notable elements of the proposed lease are as follows:

Type: Full service
Delivery: As-is, where-is
Rent: $323,684.70 year 1
$606,026.22 year 2
$834,634.20 year 3
$859,673.16 year 4
$885,463.44 year 5
Increasing at 3% annually thereafter if renewed

Termination: Tenant shall have one option to terminate the lease at the end of the thirty-sixth (36th) month of the initial term by providing landlord not less than six (6) months' notice along with an early termination fee equal to the sum of landlord costs (commissions, concessions, etc.)...
