PURPOSE:
The purpose of this resolution is to create a structure and process for the City to effectively fulfill its obligations under the original River Ventures, LLC Declaration of Easements, Covenants, Conditions, and Restrictions (“DECCR”).
BACKGROUND:
When the City purchased the Skyline property in 2023 from River Ventures, LLC, it was assigned River Ventures, LLC’s rights, title and interests under the DECCR.
Upon adoption of this resolution, the City can proceed to satisfy the conditions of the original DECCR and convene the committee. Establishing this committee is an important step to ensure that future development within the district receives prompt consideration by the committee without unnecessary delay.
Staff proposes the following committee composition and responsibilities:
The proposed membership of the Committee is outlined below:
1) Mayor (ex officio, voting member)
2) All Members of Wilmington City Council (6 ex officio, voting members)
3) (2) Non-City District Property Owners (2 voting members)*
4) City Manager or Designee (ex officio, non-voting)
5) City Attorney or Designee (ex officio, non-voting)
6) Planning Director or Designee (ex officio, non-voting)
7) Local Architect (non-voting)*
*The two (2) Non-City District Property Owners, and the local architect will be appointed through the current City Council appointment process.
A quorum of voting members shall be defined as a simple majority of five (5) members.
In addition to the obligations outlined in the DECCR, the committee would be responsible for considering and approving any amendments to the DECCR, including, but not limited to, proposed amendments to the District's footprint, as outlined above. The committee would have sole authority to consider these amendments without the approval of City Council or other property owners within the District.
