Attachment #1: Resolution - Microsoft Enterprise Agreement

PURPOSE:

The purpose of this resolution is to authorize the City Manager to execute a three-year contract with SHI International Corp. (“SHI”) to renew the City’s Microsoft Enterprise Agreement.

BACKGROUND:

The City of Wilmington relies extensively on Microsoft technologies to support daily operations, ensure cybersecurity, and maintain continuity of government services. Renewing the Microsoft Enterprise Agreement (“EA”) for an additional three-year term provides the City with a unified, cost-effective, and strategically aligned licensing framework for critical platforms, including Microsoft 365, Windows Server, Azure Backup solutions, and the City’s Teams-based Voice over IP (“VOIP”) system. This enterprise licensing model allows the City to centrally manage software assets, maintain compliance, and ensure that all departments have timely access to secure, up-to-date productivity and collaboration tools. Continuing the EA also ensures predictable pricing, reduces administrative overhead, and preserves the City’s ability to scale cloud services as operational needs evolve. The agreement supports key infrastructure components, enhances resilience and disaster recovery through Azure services, and maintains the communication systems essential for both internal coordination and public service delivery. For these reasons, staff recommends renewing the EA for another three-year term to sustain a modern, secure, and efficient technology environment across the organization.

BUDGET IMPACT:

Funding for the first year of the contract, not to exceed $650,00, will come from the IT Department’s budget and is included in the FY27 requested budget. Subsequent fiscal years will be contingent upon annual appropriation through the City's budget ordinance.
