Title

Resolution to Appoint Councilmember David Joyner as the City Council Representative to the Board of Trustees for Thalian Hall Center for the Performing Arts, Inc., Replacing Former City Council Mayor Pro Tem Margaret Haynes [Sponsored by Councilmember Andrews]

Body

LEGISLATIVE INTENT/PURPOSE:

WHEREAS, since its original incorporation in 1963, Thalian Hall Center for the Performing Arts, Inc. (hereinafter “THCPA,” and formerly Thalian Hall Commission), has had a close relationship with the City of Wilmington, including having an agreement since 1976 to provide for the operation of the Thalian Hall and City Hall facilities; and,

WHEREAS, THCPA is managed by its Board of Trustees (“Board”); and,

WHEREAS, Article IV, Section 4.5 of the THCPA bylaws states that the Board will include four (4) ex-officio Trustees with full voting rights who are appointed by the City of Wilmington, including one sitting member of City Council, one representative of the Thalian Hall “user groups,” one rotating representative of the community at large, and a City staff member to act as the City’s liaison; and,

WHEREAS, Article IV, Section 4.4 of the THCPA bylaws state that Trustees may serve up to two (2) terms of three (3) years each, unless they are originally appointed to fill an unexpired term, in which case they can serve the unexpired term plus the additional (2) terms of three (3) years each; and,

WHEREAS, Article IV, Section 4.4 of the THCPA bylaws also says that a City appointed Turstee may serve an additional three (3) year term as a regular elected Trustee at the end of an appointed term; and,

WHEREAS, Margaret Haynes was originally appointed by City Council to the THCPA Board as a sitting City Council representative in 2013 for her first three (3) year term, followed by reappointments by City Council for subsequent three (3) year terms in 2016, 2019, and 2022; and,

WHEREAS, former Mayor Pro Tem Haynes did not run for re-election to City Council in 2023, and her tenure as a member of City Council therefore ended in December of 2023, upon the installation of the newly-elected members of City Council; and

WHEREAS, former Mayor Pro Tem Haynes has continued to serve as a member of the THCPA Board in the membership slot designated for a sitting City Council member since December of 2023; and,

WHEREAS, it is the intent of City Council that the term of any City Council appointed representative should be consistent with the bylaws of the THCPA, and that no position intended for a sitting City Council member should continue once that individual is no longer a sitting member of City Council; and,

WHEREAS, City Councilmember David Joyner has expressed interest in filling the seat on the THCPA Board reserved for a sitting City Council member; and,

WHEREAS, it is appropriate for Councilmember David Joyner to be appointed by City Council to the THCPA Board as a Trustee in the seat that is reserved for a sitting City Council member; and,

WHEREAS, former Mayor Pro Tem Haynes has served the THCPA Board faithfully for over a decade and would likely be eligible for election by the Board, in its discretion, to fill another position as an elected Trustee if she is asked to step down as the City Council appointed representative.

NOW, THEREFORE, BE IT RESOLVED:

THAT, Councilmember David Joyner is hereby appointed as a Trustee to the Board of Thalian Hall Center for the Performing Arts, Inc., replacing former Mayor Pro Tem Margaret Haynes as the representative for the slot reserved for a sitting City Council member.

THAT, this resolution is effective on June 30, 2024, which shall be considered the first day of Councilmember Joyner’s first three (3) year term on the THCPA Board.
